Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Our Service or engaging Us for any consulting or notary services.

Interpretation and Definitions

Interpretation

The words whose initial letters are capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms:

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
  • Booking means a request by You to schedule and receive Services from Us.
  • Company (referred to as either “the Company”, “We”, “Us” or “Our” in these Terms) refers to Kim’Yani Professional Services, LLC, Bowie, MD 20715.
  • Country/State refers to: Maryland, United States.
  • Device means any device that can access the Service such as a computer, a cell phone or a digital tablet.
  • Notary Services means notarial acts performed by a commissioned Maryland notary public, including mobile notary services, in accordance with Maryland law.
  • Consulting Services means financial health consulting, financial education, and related informational and organizational services offered by the Company.
  • Services means, collectively, the Consulting Services and Notary Services offered by the Company through the Service.
  • Service refers to the Website.
  • Terms (also referred to as “Terms of Service” or “Terms and Conditions”) means these Terms, including any documents expressly incorporated by reference, which govern Your access to and use of the Service and Your engagement of the Services, and form the entire agreement between You and the Company.
  • Third-Party Social Media Service means any services or content (including data, information, products or services) provided by a third party that is displayed, included, made available, or linked to through the Service.
  • Website refers to Kim’Yani, accessible from https://www.kimyani.com/
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.


Acknowledgment

These are the Terms governing the use of this Service and the agreement between You and the Company regarding the Services. These Terms set out the rights and obligations of all users regarding the use of the Service and the engagement of the Services.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service or engage the Services.

By accessing or using the Service, or by booking or receiving Services, You agree to be bound by these Terms. If You disagree with any part of these Terms, then You may not access the Service or engage the Services.

You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service or enter into this agreement.

Your access to and use of the Service is also subject to Our Privacy Policy, which describes how We collect, use, and disclose Your personal information. Please read Our Privacy Policy carefully before using Our Service.


Nature of Our Services

Financial health consulting; not credit repair. The Consulting Services We provide are financial health consulting and financial educational services. We help You understand, organize, and make informed decisions about Your personal financial profile. We are not a credit repair or credit restoration organization. We do not repair, restore, or “fix” credit on Your behalf, we do not dispute items with credit bureaus or creditors as Your agent, and we do not guarantee, promise, or represent that any particular credit score, credit outcome, or financial result will be achieved. Any actions taken with respect to Your credit or finances are Your own decisions and responsibility.

No professional, legal, or investment advice. The Consulting Services are informational and educational in nature and are not a substitute for the advice of a licensed attorney, certified financial planner, accountant, tax professional, or investment advisor. We do not provide legal, tax, accounting, or investment advice, and nothing We provide should be relied upon as such. You should consult a qualified professional regarding Your specific circumstances.

Notary services; not a law firm. Kim’Yani Professional Services, LLC is not a law firm and is not licensed to practice law in Maryland. We are not authorized to draft legal documents, provide legal advice, including immigration-related matters, or accept fees for the provision of legal advice. Our Notary Services are limited to notarial acts authorized under Maryland law. A notary public may not provide legal advice or determine the type of notarial act or document required. Notary fees charged by the Company are limited to those permitted under applicable Maryland law.

No guaranteed results. You acknowledge that the benefit of the Services depends on many factors outside Our control, including information You provide and actions You choose to take. We make no guarantee regarding any specific outcome.


Booking and Receiving Services

By booking Services through the Service, You warrant that You are legally capable of entering into binding contracts and that You are at least 18 years of age.

Your Information

To book or receive Services, You may be asked to supply certain information relevant to Your Booking, including, without limitation, Your name, email address, phone number, billing address, and payment information.

You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) You provide in connection with any Booking; and (ii) the information You supply to Us is true, correct, and complete.

By submitting such information, You grant Us the right to provide that information to Our third-party payment processor for the purpose of facilitating and completing Your Booking.

Scheduling, Rescheduling, and Cancellation

Services are provided by appointment. We reserve the right to refuse, cancel, or reschedule a Booking at any time for reasons including, but not limited to:
  • Availability of the Company or a commissioned notary;
  • Errors in the description, scheduling, or pricing of Services;
  • Errors in Your Booking or incomplete information;
  • A reasonable belief that a requested notarial act would be unlawful, or that the signer lacks capacity, identification, or willingness as required by Maryland law;
  • Suspected fraud or an unauthorized or illegal transaction.
If We cancel a Booking for which You have already paid and no Services have been rendered, We will issue a refund of amounts paid for the undelivered Services. If You need to reschedule or cancel, please contact Us as early as possible so We can accommodate You.

Refunds

Refunds for Services are handled on a case-by-case basis and are governed by Our Refund Policy, which forms part of these Terms. Please review Our Refund Policy to understand how cancellations, deposits, and refunds are handled. Because Notary Services and Consulting Services are performed for You directly, fees for Services that have already been performed are generally non-refundable, except as required by applicable law or as otherwise provided in Our Refund Policy. Where a refund is issued, We will use the same means of payment You used for the Booking, and You will not incur any fees for such reimbursement.

Pricing and Errors

We are continually updating Our offering of Services. Services or pricing described on the Service may occasionally be inaccurate, mispriced, or unavailable, and We may experience delays in updating information on the Service and in Our advertising on other websites.

We cannot and do not guarantee the accuracy or completeness of any information on the Service, including pricing, descriptions, and availability. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice, and to revise Our prices at any time prior to accepting a Booking.

Payments

Payment for Services may be collected through the payment methods We make available. Card payments are processed by Our third-party payment processor, Authorize.net, whose handling of Your information is governed by its own privacy policy. We do not store or collect Your full payment card details on Our own servers.

Payment cards are subject to validation checks and authorization by Your card issuer. If We do not receive the required authorization, We will not be liable for any delay in, or non-performance of, Your Services.


Intellectual Property

The Service and its original content (excluding content provided by You or other users), features, and functionality are and will remain the exclusive property of the Company and its licensors.

The Service is protected by copyright, trademark, and other laws of both the Country/State and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

Any worksheets, templates, educational materials, or other documents We provide to You in the course of the Consulting Services are licensed to You for Your personal, non-commercial use and may not be resold or redistributed without Our written consent.


Your Responsibilities

You agree to provide accurate, current, and complete information in connection with the Services, and to bring valid, government-issued identification and any required documents to any notary appointment. You are responsible for the decisions You make and the actions You take based on the Consulting Services. You agree not to use the Service or the Services for any unlawful purpose or in any way that could damage, disable, or impair the Service.


Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.


Links from a Third-Party Social Media Service

The Service may display, include, make available, or link to content or services provided by a Third-Party Social Media Service. A Third-Party Social Media Service is not owned or controlled by the Company, and the Company does not endorse or assume responsibility for any Third-Party Social Media Service. Your use of any Third-Party Social Media Service is governed by that service’s own terms and privacy policies.


Termination

We may terminate or suspend Your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms. Upon termination, Your right to use the Service will cease immediately.


Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms, and Your exclusive remedy for all of the foregoing, shall be limited to the amount actually paid by You to the Company for the Services giving rise to the claim, or 100 USD if You have not paid the Company anything.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, or loss of privacy) arising out of or in any way related to the use of or inability to use the Service or the Services, even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.


“AS IS” and “AS AVAILABLE” Disclaimer

The Service and the Services are provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service and the Services, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.

Without limiting the foregoing, the Company makes no representation or warranty of any kind that the Service or Services will meet Your requirements, achieve any intended results, be uninterrupted or error-free, or that any errors or defects can or will be corrected.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. In such a case, the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.


Governing Law

The laws of the Country/State, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service and the Services. Your use of the Service may also be subject to other local, state, national, or international laws.


Disputes Resolution

If You have any concern or dispute about the Service or the Services, You agree to first try to resolve the dispute informally by contacting the Company. The parties agree that any dispute not resolved informally shall be brought exclusively in the state or federal courts located in Prince George’s County, Maryland, and You consent to the personal jurisdiction of such courts.


United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.


Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.


Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
